1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the J-Uza Green Solutions Marketplace website at www.j-uza.com (the "Platform"), operated by App Town Technologies Ltd ("J-Uza", "we", "us", "our"), a company incorporated in Kenya.

By accessing or using j-uza.com in any way — whether as a visitor, registered buyer, solution provider, or Academy subscriber — you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and any other policies published on the Platform, all of which are incorporated herein by reference.

If you do not agree to these Terms, you must immediately stop using j-uza.com.

We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. The current version is always available at www.j-uza.com/terms.

2. About J-Uza

J-Uza is a curated green solutions marketplace connecting verified sustainability innovators with corporate buyers across East Africa and the Gulf. The Platform facilitates:

Discovery and enquiry of verified green solutions, sustainability tools, and nature-based innovations
Purchase of sustainability assessment reports generated through our online assessment tool
Access to Green Business Academy training content through JUZA College of Business and Technology
Application and onboarding of verified green solution providers

J-Uza is a curated platform. Not all solution providers or products are accepted. Every solution listed on J-Uza has been reviewed against our Green Credentials framework before going live. J-Uza does not guarantee the accuracy, completeness, or performance of any solution listed on the Platform, as solution providers are independently responsible for their products and services.

3. Eligibility

By using j-uza.com you represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater
You have the legal capacity and authority to enter into these Terms
If using the Platform on behalf of a company or organisation, you have the authority to bind that entity to these Terms
Your use of the Platform complies with all applicable laws in your jurisdiction

J-Uza reserves the right to refuse access to or terminate accounts of any user who does not meet these eligibility requirements or who violates these Terms.

4. User Accounts

4.1 Registration

Certain features of J-Uza require you to create an account. When registering you agree to:

Provide accurate, complete, and current information
Maintain and update your account information promptly when it changes
Keep your password secure and confidential
Notify us immediately at support@j-uza.com of any unauthorised access to your account
Accept responsibility for all activity that occurs under your account

4.2 Account Security

You are solely responsible for maintaining the security of your account credentials. J-Uza is not liable for any loss or damage arising from unauthorised access to your account resulting from your failure to keep your credentials secure.

4.3 Account Suspension and Termination

J-Uza reserves the right to suspend or terminate your account at any time and without notice if:

You breach any provision of these Terms
We reasonably suspect fraudulent, illegal, or abusive activity
You provide false or misleading information during registration
We are required to do so by law or regulatory directive

You may close your account at any time by contacting support@j-uza.com. Closure does not affect any outstanding obligations, transactions, or rights accrued before closure.

5. Buyer Terms

5.1 Browsing and Enquiries

Buyers may browse verified green solutions and submit demo requests or enquiries free of charge. By submitting an enquiry or demo request, you consent to J-Uza sharing your contact details with the relevant verified solution provider for the purpose of responding to your request.

5.2 Sustainability Assessment Reports

Buyers may purchase sustainability assessment reports through J-Uza's online assessment tool. By purchasing a report you acknowledge that:

The report is generated based on information you provide and its accuracy depends on the accuracy of your inputs
The report is for informational purposes only and does not constitute professional environmental, legal, or financial advice
J-Uza is not liable for any business decisions made on the basis of the report
Digital reports are non-refundable once successfully delivered, in accordance with our Refund Policy

5.3 Transactions with Solution Providers

J-Uza facilitates connections between buyers and solution providers but is not a party to any transaction, contract, or agreement between you and a solution provider. J-Uza is not responsible for:

The quality, delivery, or performance of any green solution
Any representations or warranties made by solution providers
Any disputes arising between buyers and solution providers
Any loss or damage arising from your use of a solution purchased or engaged through J-Uza

You are encouraged to conduct your own due diligence before engaging any solution provider.

6. Sustainability Assessment Tool

J-Uza's sustainability assessment tool generates reports based on user-provided data. You agree that:

You will provide accurate and complete information when using the assessment tool
You will not submit false, misleading, or fabricated data
The assessment output is an indicative sustainability score and should not be treated as a certified audit or regulatory compliance assessment
J-Uza reserves the right to update the assessment methodology at any time, which may affect future assessments

J-Uza is not liable for any regulatory, commercial, or reputational consequences arising from reliance on the sustainability assessment output.

7. Green Business Academy and JUZA College

The Green Business Academy is the training arm of J-Uza, operated under JUZA College of Business and Technology, currently completing TVET accreditation in Kenya. By registering interest in or accessing Academy content, you acknowledge that:

Academy content is currently offered as practical, non-accredited training unless explicitly stated otherwise
JUZA College is in the process of obtaining TVET accreditation — accredited programmes will be clearly identified when available
Course content, pricing, and availability are subject to change
Academy course fees, once paid, are subject to a separate refund policy that will be published at the time of course launch

J-Uza does not guarantee employment outcomes or regulatory compliance outcomes from completion of any Academy course.

8. Prohibited Conduct

You must not use j-uza.com to:

Engage in any activity that violates applicable law in Kenya, the UAE, or your jurisdiction
Submit false, misleading, or fraudulent information including false sustainability claims
Impersonate any person, company, or organisation
Attempt to gain unauthorised access to any part of the Platform or another user's account
Introduce viruses, malware, or any harmful code to the Platform
Scrape, harvest, or systematically extract data from the Platform without prior written consent
Use the Platform to conduct or facilitate illegal transactions
Harass, abuse, or harm any other user, solution provider, or J-Uza staff member
Use the Platform to promote products or services that cause net environmental harm or constitute greenwashing
Reproduce, distribute, or create derivative works from J-Uza content without prior written consent

Violation of these prohibitions may result in immediate account suspension, removal from the Platform, and where applicable, referral to relevant authorities.

9. Intellectual Property

9.1 J-Uza Content

All content on j-uza.com — including the J-Uza brand, logo, platform design, assessment tools, verification framework, written content, and software — is owned by or licensed to App Town Technologies Ltd and is protected by applicable intellectual property laws. You may not use, copy, reproduce, or distribute any J-Uza content without our prior written consent.

9.2 Solution Provider Content

Content submitted by solution providers, including solution descriptions, images, certifications, and impact data, remains the intellectual property of the respective provider. J-Uza displays this content under licence from the provider for the purpose of operating the marketplace.

9.3 User Submissions

By submitting content to J-Uza — including assessment tool inputs, enquiry forms, or feedback — you grant App Town Technologies Ltd a non-exclusive, royalty-free licence to use that content for the purposes of operating and improving the Platform. You retain ownership of your submitted content.

9.4 Feedback

Any feedback, suggestions, or ideas you submit to J-Uza may be used by us without restriction or compensation to you.

10. Third Party Links and Services

J-Uza may contain links to third-party websites including solution provider websites, partner organisations, and external resources. These links are provided for convenience only. J-Uza does not endorse, control, or take responsibility for the content, privacy practices, or services of any third-party website.

Your interactions with third-party websites are governed by their own terms and privacy policies. J-Uza is not liable for any loss or damage arising from your use of third-party websites.

11. Payments and Transactions

Payments on J-Uza are processed by Paystack Payments Kenya Limited, licensed by the Central Bank of Kenya. By making a payment on J-Uza you agree to Paystack's terms of service in addition to these Terms. Payment methods accepted include Visa, Mastercard, M-Pesa, and bank transfer where available.

All prices on J-Uza are displayed inclusive of applicable taxes unless stated otherwise. J-Uza reserves the right to change pricing at any time. Changes to pricing do not affect transactions already completed.

Refunds are governed by our Refund Policy, available at www.j-uza.com/refund-policy.

12. Disclaimers and Warranties

To the fullest extent permitted by applicable law:

J-Uza provides the Platform on an "as is" and "as available" basis without any warranties of any kind, express or implied
J-Uza does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components
J-Uza does not warrant the accuracy, completeness, or reliability of any content on the Platform including solution listings, sustainability data, and assessment outputs
J-Uza does not endorse or guarantee the quality, safety, or suitability of any green solution listed on the Platform
J-Uza does not warrant that use of the Platform will result in any particular business, environmental, or regulatory outcome

Nothing in these Terms excludes any warranty or right that cannot be excluded under Kenyan law or applicable consumer protection legislation.

13. Limitation of Liability

To the fullest extent permitted by applicable law, App Town Technologies Ltd and its officers, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive loss or damage arising from your use of or inability to use the Platform
Any loss of data, revenue, profit, or business opportunity arising in connection with the Platform
Any loss or damage arising from your reliance on sustainability assessment outputs, solution listings, or any other content on the Platform
Any loss or damage arising from transactions between buyers and solution providers
Any loss or damage arising from the acts or omissions of third-party service providers including Paystack

Where liability cannot be excluded, J-Uza's total liability to you shall not exceed the amount paid by you to J-Uza in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, wilful misconduct, death, or personal injury caused by negligence, or any liability that cannot be excluded under Kenyan law.

14. Indemnity

You agree to indemnify, defend, and hold harmless App Town Technologies Ltd and its officers, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

Your breach of these Terms
Your use of the Platform in violation of applicable law
Any content you submit to the Platform that infringes a third party's rights
Any dispute between you and a solution provider
Your negligence or wilful misconduct

15. Privacy

Your use of j-uza.com is also governed by our Privacy Policy, available at www.j-uza.com/privacy. By using the Platform you consent to the collection and use of your personal data as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any dispute arising from or in connection with these Terms or your use of J-Uza that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Kenya, or at J-Uza's election, referred to arbitration in Nairobi under the Kenyan Arbitration Act 1995 as amended.

If you are a consumer located outside Kenya, you may also have rights under the laws of your own jurisdiction that cannot be excluded by this clause.

17. General Provisions

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and any other policies published on j-uza.com, constitute the entire agreement between you and J-Uza regarding your use of the Platform.
Waiver: Failure by J-Uza to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in future.
Assignment: You may not assign your rights or obligations under these Terms without J-Uza's prior written consent. J-Uza may assign these Terms without restriction.
Force Majeure: J-Uza is not liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control.
Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
